LexExtract AI – Terms of Service

1. Acceptance of Terms

• Your electronic acceptance constitutes a legally binding agreement.
• Electronic acceptance has the same legal effect as a handwritten signature.
• We may record timestamp, IP address, and account details as evidence of acceptance.
• If accepting on behalf of an entity, you represent you have authority to bind that entity.

2. Description of the Service

LexExtract AI is a subscription-based SaaS platform that enables users to:

• Upload documents
• Extract structured information
• Process and analyze content
• Generate AI-assisted outputs
• Manage document workflows

The Service may use artificial intelligence and automated systems. We may update or modify features at any time.

3. Account Registration

• Provide accurate information
• Maintain confidentiality of credentials
• Be at least 18 years old
• Ensure authorized use under your account

You are responsible for all activities under your account.

4. Subscriptions and Billing

4.1 Subscription Plans

• Subscriptions are billed in advance (monthly or annually).
• Automatically renew unless canceled.
• May include usage limits or credit allocations.
• Pricing may be modified with notice.

4.2 Credits System

• Certain actions consume credits.
• Each plan includes a predefined credit allocation.
• Credits may expire as specified in your plan.
• Unused credits may not roll over unless stated otherwise.

4.3 Additional Credit Purchases

• Credit purchases are final and non-refundable unless required by law.
• Credits are non-transferable and have no cash value.
• We reserve the right to adjust credit pricing.

4.4 Payment Terms

You authorize us to charge your payment method for subscription fees, additional credit purchases, and applicable taxes. Failure to pay may result in suspension or termination.

5. User Content

You retain ownership of content you upload ("User Content"). You grant LexExtract AI a limited, worldwide, non-exclusive license to host, process, store, analyze, and transmit User Content solely to provide and improve the Service.

You represent that you have lawful rights to upload such content.

6. AI-Generated Output

• AI outputs may contain inaccuracies.
• Outputs are for informational purposes only.
• We do not guarantee professional, legal, or financial accuracy.
• You are responsible for reviewing outputs before reliance.
• Outputs may not be unique.

7. Acceptable Use

• No unlawful or fraudulent use
• No malicious software uploads
• No reverse engineering
• No circumvention of credit limits
• No infringement of intellectual property rights

Violations may result in suspension or termination.

8. Intellectual Property

All rights in the platform, software, models, branding, APIs, and system architecture remain the exclusive property of LexExtract AI. No license is granted except as expressly stated.

9. Data Security and Privacy

We implement commercially reasonable safeguards. However, no system is fully secure. Our Privacy Policy governs personal data handling.

10. Suspension and Termination

We may suspend or terminate access if you violate these Terms, fail payment, or create security risks. Upon termination, access is revoked and credits may be forfeited.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." We disclaim all warranties including merchantability, fitness for a particular purpose, non-infringement, and reliability of outputs.

12. Limitation of Liability

To the maximum extent permitted by law, LexExtract AI shall not be liable for indirect, incidental, consequential, or punitive damages. Total liability shall not exceed the amount paid in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless LexExtract AI from claims arising from your use of the Service, your User Content, or violation of these Terms.

14. Modifications to Terms

We may update these Terms. Continued use after updates constitutes acceptance. Material changes may require re-acceptance.

15. Governing Law

These Terms are governed by the laws of Hong Kong SAR. Disputes shall be resolved in the courts of Hong Kong SAR.

16. Entire Agreement

These Terms constitute the entire agreement between you and LexExtract AI regarding the Service.
